Quando as ações pagas por uma aquisição realmente se tornam oferta vendável?

Marwynn Holdings (MWYN) disclosed four million common shares as consideration for its software acquisition. They were fully earned on October 15, but issuance can be deferred and remains subject to applicable approvals. The agreement has no contractual lock-up, while the shares are expected to be restricted securities. Those statements answer different questions. A contractual lock-up is a promise limiting sales. Restricted-securities status brings separate resale requirements: a public resale needs registration or an applicable exemption. Having no contractual lock-up doesn't settle the rest. I'd track confirmation of issuance and the available resale route separately before treating the full amount as near-term market supply. Even then, eligibility to sell wouldn't tell me whether the recipient intends to sell. For investors who follow stock-funded acquisitions, what filing evidence gives you enough confidence to put a timeframe on possible new market supply? I'm trying to distinguish possible future supply from an immediate trading assumption. -Kick293
